Charter Prices $1 Billion Senior Notes Offering

ST. LOUIS, Sept. 20 /PRNewswire-FirstCall/ -- Charter Communications, Inc. (Nasdaq: CHTR) (the "Company") today announced that its subsidiary, CCO Holdings, LLC ("CCO Holdings"), has priced its previously announced offering of Senior Notes due 2017 (the "2017 Notes").  The transaction was upsized to $1 billion from the initial announcement amount of $750 million. The 2017 Notes will have an annual interest rate of 7.25%, with interest paid semi-annually in April and October.  

The net proceeds of this proposed issuance will be used (i) to repay borrowings under one or more term loan portions of Charter Communications Operating, LLC's ("Charter Operating") credit facilities, and (ii) for general corporate purposes.

The 2017 Senior Notes will be sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Company expects, subject to market conditions, that the sale would be completed in approximately one week.
