Charter Communications Extends Exchange Offer for $900 Million Senior and Senior Discount Notes; Exchange Offer Extended to June 25, 2002

ST. LOUIS, Jun 20, 2002 (BUSINESS WIRE) -- Charter Communications Holdings, LLC and Charter Communications Holdings Capital Corporation, subsidiaries of Charter Communications, Inc. (Nasdaq:CHTR), today announced the second extension of their offer (the "Exchange Offer") to exchange their outstanding $350 million of 9.625% Senior Notes due 2009, $300 million of 10.000% Senior Notes due 2011 and $263 million of 12.125% Senior Discount Notes due 2012 with a principal at maturity of $450 million (collectively, the "Old Notes") for $350 million of 9.625% Senior Notes due 2009, $300 million of 10.000% Senior Notes due 2011 and $263 million of 12.125% Senior Discount Notes due 2012 with a principal at maturity of $450 million (collectively, the "New Notes").

The Exchange Offer was scheduled to expire at 5:00 p.m. Eastern Time, on June 20, 2002. As of today, approximately $345 million in aggregate principal amount of 9.625% Senior Notes due 2009, $297 million in aggregate principal of 10.000% Senior Notes due 2011, and $445 million in aggregate principal at maturity of 12.125% Senior Discount Notes due 2012 have been confirmed as tendered in exchange for a like principal amount of New Notes.

The new expiration date for the Exchange Offer is 5:00 p.m. Eastern Time, on June 25, 2002.

The New Notes have been registered under the Securities Act of 1933, as amended (the "Securities Act"). The Old Notes were sold to qualified institutional buyers in reliance on Rule 144A of the Securities Act on January 14, 2002. The Old Notes were not registered under the Securities Act and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
